1. Acceptance of Agreement

By accessing or using AlliedLMS, you agree to be bound by these Terms and Conditions. These terms apply to all visitors, users, and others who access or use the Service. AlliedLMS provides a platform for educational content distribution and management.

2. Release of Liability and Waiver

PLEASE READ THIS SECTION CAREFULLY. IT CONSTITUTES A RELEASE OF LIABILITY.

By using this platform, you hereby agree to fully release, indemnify, and hold harmless AlliedLMS, Hale CPR LLC, and Dannielle Hale (collectively "Released Parties") from any and all claims, demands, damages, rights of action, or causes of action, present or future, whether the same be known or unknown, anticipated or unanticipated, resulting from or arising out of the use of the platform, instructional materials, certifications, or physical techniques practiced or discussed.

This waiver includes, without limitation, injuries or outcomes which may occur as a result of (a) instructional content provided by third-party instructors, (b) improper application of techniques learned on the platform, or (c) any equipment failure or technical malfunction.

3. Regulatory & Licensing Compliance

AlliedLMS provides the technical infrastructure and educational curriculum for professional training. However, it is the sole responsibility of the Instructor and the User to ensure that their participation, course delivery, and any issued certifications comply with all local, state, and federal regulations.

"Users and Instructors are strictly required to verify and meet all specific state requirements, professional licensing standards, and regulatory mandates applicable to their field of study, clinical practice, or certification issuance."

AlliedLMS does not audit content for legal or regional sufficiency. Failure to comply with applicable licensing laws may result in immediate account termination.

4. Platform and Curriculum Disclaimer

AlliedLMS acts solely as a provider of technology hosting and instructional curriculum. AlliedLMS does not independently verify, endorse, accredit, or certify the accuracy, legality, or effectiveness of any third-party instructor or clinical practice. We provide the tools and content, but the responsibility for professional application and regulatory standing rests entirely with the user.

IMPORTANT: AlliedLMS does not certify, vet, guarantee, or warrant any instructors using the platform. Students are solely responsible for verifying the qualifications, credentials, and suitability of any instructor before enrolling in their courses.

5. No Medical or Professional Advice

Content provided through the platform is for educational purposes only and does not constitute medical, legal, emergency response, or professional advice. Users should consult qualified professionals and applicable regulatory agencies before relying upon any instructional material.

6. Certification Limitations

Completion of a course on AlliedLMS does not guarantee employment, licensing, certification acceptance, or regulatory approval. Acceptance of certifications is determined solely by employers, regulatory agencies, and governing bodies. AlliedLMS is not responsible for the refusal of any third party to recognize credentials issued through the platform.

7. Intellectual Property

All platform software, branding, design elements, and proprietary systems remain the exclusive property of AlliedLMS and Hale CPR LLC. Instructors retain ownership of their original uploaded materials but grant AlliedLMS a non-exclusive license to host and distribute such content to enrolled users. Unauthorized redistribution of platform content is strictly prohibited.

8. Prohibited Uses

Users are prohibited from: (a) Uploading illegal or infringing content; (b) Engaging in harassment or spam; (c) Distributing malware; (d) Attempting to reverse engineer the platform; (e) Sharing account credentials; or (f) Issuing or claiming fraudulent certifications.

9. User Accounts and Privacy

When you create an account, you must provide accurate and current information. You are responsible for safeguarding your password. Our privacy practices are governed by our Privacy Policy, which details how we handle user data.

10. Payment and Refunds

Subscription billing and course fees are handled according to the specific pricing tier selected. Unless otherwise stated, all sales are final. Chargebacks or unauthorized payment reversals may result in immediate account suspension.

11. Termination of Service

AlliedLMS reserves the right to suspend or terminate accounts, courses, certifications, or access to the platform at any time and for any reason, with or without notice, particularly in cases of suspected fraud or violation of these terms.

12. Limitation of Damages

In no event shall the Released Parties be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of the Service. Total liability shall not exceed the amount paid by the user to AlliedLMS during the preceding twelve (12) months.

13. Arbitration and Governing Law

These Terms shall be governed by the laws of the State of Pennsylvania without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in the appropriate Pennsylvania jurisdiction.

14. HIPAA Disclaimer

Users shall not upload protected health information ("PHI") or other regulated sensitive data unless explicitly authorized through a separate written agreement. AlliedLMS is not responsible for the unauthorized storage of medical records.

15. Availability

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. AlliedLMS does not guarantee uninterrupted availability, error-free operation, or permanent data retention.

16. Data Loss and Backups

Users are solely responsible for maintaining backups of their own course materials, certifications, and records. AlliedLMS is not responsible for lost or corrupted data regardless of the cause.

17. Electronic Communications

By using the Service, you consent to receive electronic communications from AlliedLMS including notices, invoices, updates, and legal communications via the email address associated with your account.

18. Changes to Terms

AlliedLMS reserves the right to modify these Terms at any time. Continued use of the Service following updates constitutes acceptance of the revised Terms. Users are encouraged to review this page periodically.
